1. Welcome

Welcome to planeed. The planeed app and associated services (the “Service”) are operated by Sabri & Liebl GbR, Munich (hereinafter “we”, “us”, “our”, “planeed”). By accessing or using the Service, you agree to these Terms & Conditions (“Terms”). These Terms constitute a legally binding agreement between you (the “User” or “you”) and planeed.

2. About planeed

planeed is an app for private users, companies and organizations. The mission of planeed is to communicate and promote a responsible lifestyle and to make a positive impact on the world. All content on planeed is user generated. planews refer to an external link. planeed visualizes impact in Action Points and other formats and calculates an Impact Score, metrics based on the activities of the users. The Impact Score allows (you) to compare yourself with other users or companies. Furthermore, we want to enable you to find suitable content, users and business partners according to your interests.

3. Use of the Service

3.1 You must be at least 12 years old to use the Service. If you are a minor you must have the necessary permissions under applicable law.
3.2 You represent and warrant that you are not subject to any legal prohibition on using the Service (e.g., you are not a convicted sex-offender).
3.3 You may not impersonate others, register for others without permission, or use the Service for any unlawful, fraudulent, harassing or abusive purpose.
3.4 You may not interfere with, disrupt or attempt to reverse-engineer the Service, or use automated means to access or manipulate the Service. Furthermore, we try to detect and prevent abuse, or to fix it and thus ensure the security of planeed.

4. Content you post 

4.1 You may post content (text, images, videos, comments) via the Service. By doing so you guarantee that you hold all rights in the content and that it is lawful, does not violate any rights of others, and complies with these Terms.
4.2 We may remove or disable access to any content that violates these Terms or our guidelines, or if required by law or regulatory authorities. We may block or suspend accounts if needed.
4.3 If you delete your account, we will immediately anonymise your username, but your previously published content (such as adopted Action Points) may remain visible in anonymised form because it forms part of the “community-impact” of planeed.

5. License of your content

You retain ownership of any content you post. However, you hereby grant us a global, non-exclusive, royalty-free, sublicensable licence to store, host, reproduce, modify, publicly perform or display, translate, and create derivative works of your content (for example to compute Impact Scores, show rankings, or display your username/profile picture in connection with your content). You grant us the right to use and display your username and profile picture in connection with your content, rankings or other features.

6. Location and GPS data 

6.1 We may, subject to your explicit consent, access, collect and process location information from your device (including GPS, Wi-Fi, cellular or other network information) to:

  • display the location (if you opt-in) of following planeed formats: Moments, Spaces, Companies and Point of Actions

  • this is an optional service provided by planeed, to enhance usability

6.2 You may revoke this consent at any time via the app/device settings and stop the location service. If you do so, the related location-based features of the Service may become unavailable or reduced in functionality.
6.3 We only process your location data to the extent necessary for the purposes above, and we will treat it in accordance with our Privacy Policy.

7. Data Collection, Use & Processing 

7.1 In order to operate the Service and give you the best possible experience, we collect and store data about you. This may include your profile information, posts, usage and interaction data, and (if you consent) location data of the post formats named in 6.1.
7.2 The storage and processing may take place outside the country in which you are located.
7.3 We also use state-of-the-art techniques (including machine learning and artificial intelligence) to analyse and process your data in order to optimise the Service, detect abuse and provide personalised content and advertising.
7.4 Legal basis: For collection and processing of your personal data we rely either on your consent, performance of the contract (i.e., providing the Service) or our legitimate interests, except where overridden by your rights. This is in line with the GDPR. 
7.5 We will not sell your personal data to third parties. We may provide anonymised or aggregated performance reports to planeed users without identifying you personally. You may see featured content based on your interests and derived data.

8. Deletion, Account Suspension & Blocking

8.1 We reserve the right to suspend or terminate accounts, block access or remove or disable content if we believe there is a violation of these Terms or applicable law.
8.2 Furthermore, we may modify or discontinue the service if we reasonably deem it necessary and in order to mitigate or avoid any legal or regulatory impact on us.
8.3 In certain cases, we may not delete content from our servers. These cases include, but are not limited to, to comply with a legal obligation such as preservation of evidence, order of a court or similar institution or authority. Further, when deletion would hinder us in investigating and detecting illegal activity or violation of our Terms of Use. In such cases, the content will be retained for as long as is necessary for the purpose.

9. Your Obligations 

  • Use the Service only in accordance with applicable law and these Terms. Comply with any specific additional rules or guidelines that may apply in the Service or to certain functional areas.

  • Provide accurate, current information when registering and keep it up to date.

  • You may not impersonate anyone or anything that you are not. You must provide your identity through accurate and current information. You also may not create an account for another person or entity unless you have express permission to do so.

  • Not post or transmit unlawful, infringing or abusive content.

  • Not attempt to gain unauthorised access to other accounts.

  • Not use the Service for commercial/advertising purposes unless you have our express permission.

  • You may not sell, license, or make unlawfully available to any third party any data from planeed.

  • When posting on planeed, you warrant that you have all necessary rights to the posted content and that it does not violate any applicable law.

  • You may not copy, modify, create derivative works of, or reverse engineer the planeed app and its components.

  • You agree that we may download and install updates from planeed to your device.

10. Child Protection

Content which depicts or supports the sexual abuse or exploitation of children is strictly prohibited. If you encounter any such content, please report it immediately. Violations will result in removal of content and blocking of accounts. (A “child” means any person under 18 years old.)

11. Disclaimers & Liability

11.1 We aim to provide the Service with reasonable care, but we do not guarantee uninterrupted, error-free or secure operation.
11.2 We are not liable for any loss or damage resulting from use of the Service, interruptions, errors or offensive/unlawful user content.
11.3 User-generated content, links and “planews” (public links) are posted by users and we do not warrant their accuracy, suitability or legality.

12. Changes to the Terms

We may update these Terms from time to time. You will be notified of significant changes or we may require you to review them when you next use the Service. Continued use after changes means you accept the updated Terms.

13. Assignment & Transfer

13.1 You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
13.2 We may assign or transfer our rights and obligations (for example in case of a sale of the company).

14. Serverability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Governing Law & Jurisdication

These Terms are governed by German law. The exclusive place of jurisdiction for any disputes arising out of or in connection with these Terms (to the extent legally permissible) is Munich.
