These Terms and Conditions (“Terms”) govern access to and use of the planeed platform (“Platform”, “Service”) operated by planeed (“Company”, “we”, “us”, or “our”). By accessing or using the Platform, you (“Customer”, “User”) agree to be bound by these Terms. 

“Semantic Graph” means a structured representation of entities, topics and relationships generated or managed through the Platform.

1. Scope of Service

planeed provides a SaaS platform for creating, managing and publishing semantic brand architectures as structured Semantic Graphs.

The Platform includes:

  • Automated analysis of Customer-provided digital assets (e.g., websites) 
  • Generation of Semantic Graphs: topics, entities, subtopics and relationships 
  • Integration of Customer-provided data: products, experts, claims, sources 
  • Visualization, editing and approval workflows for Semantic Graphs 
  • Publication to planeed infrastructure and third-party platforms (e.g., open knowledge bases) 
  • Export and embedding capabilities for Customer-owned or third-party properties 

Disclaimer: planeed does not guarantee specific performance outcomes, including AI visibility improvements, search ranking or acceptance by third-party platforms.

2. Account and Access

To use the Platform, you must:

  • Be legally capable of entering into binding agreements 
  • Provide accurate and complete registration information 
  • Maintain confidentiality of your account credentials 

You are responsible for all activities conducted under your account.

3. Customer Data

3.1 Ownership

Customer retains all rights to:

  • Input data provided to the Platform 
  • Approved semantic graph content 

3.2 License Grant

By using the Service, Customer grants planeed a worldwide, non-exclusive, royalty-free license to:

  • Process, analyze and transform input data 
  • Generate, store and host semantic graph structures 
  • Publish approved graph data to selected third-party platforms as instructed by the Customer

3.3 Responsibility

Customer represents and warrants that:

  • They have legal rights to all submitted data 
  • Content does not infringe third-party rights or violate applicable laws 

planeed is not responsible for accuracy, legality, or reliability of Customer-provided content.

4. Semantic Processing Disclaimer

The Customer acknowledges that the Platform generates Semantic Graphs using automated and semi-automated processes, including classification, entity extraction and relationship modeling.

Such outputs may:

  • contain inaccuracies, omissions or misclassifications
  • reflect probabilistic or heuristic interpretations rather than factual certainty
  • evolve over time as models and data inputs change

The Platform does not establish objective truth or verified knowledge but provides structured representations based on available inputs.

planeed does not guarantee the correctness, completeness or reliability of any semantic structure generated by the Platform.

5. Publication to Third-Party Platforms

Upon Customer approval, semantic graph data may be published to third-party platforms, including but not limited to open knowledge bases and Semantic Graphs ecosystems.

The Customer acknowledges that:

  • third-party platforms may interpret, transform or enrich the data
  • published data may be combined with external datasets beyond planeed’s control
  • automated systems, including AI models, may derive conclusions or inferences from the published data

planeed does not control and is not responsible for:

  • how third parties interpret or use the data
  • any conclusions, associations or representations generated by external systems
  • any reputational, commercial or informational impact resulting from such interpretations

Published data may remain publicly accessible and persist independently of the Platform.

6. Semantic Reliance and Interpretation

The Customer acknowledges that Semantic Graphs represent structured relationships between entities and concepts, which may be interpreted by humans or automated systems in ways not intended by the Customer or planeed.

The Customer agrees that:

  • Semantic Graphs may imply associations, hierarchies or relevance that are subject to interpretation
  • third-party systems, including AI models, may generate outputs, conclusions or recommendations based on such structures
  • such outputs may differ from the Customer’s intended messaging or positioning

The Customer is solely responsible for:

  • reviewing and validating all Semantic Graphs prior to publication
  • assessing the potential implications of publishing Semantic Graphs
  • monitoring the external use and interpretation of such data

planeed shall not be liable for any reliance placed on Semantic Graphs by the Customer or any third party.

7. Acceptable Use

Use of the Platform must comply with the Acceptable Use Policy (AUP), which defines prohibited conduct, including unlawful, misleading or harmful use of the Platform or published data.

8. Intellectual Property

8.1 planeed Technology

All rights to:

  • Software 
  • Algorithms 
  • Ontologies 
  • Data models 
  • System architecture 

remain exclusively with planeed.

8.2 Customer Content and Graphs

Customer retains ownership of:

  • Submitted input data 
  • Approved semantic graph content 

8.3 Derived Structures and Learnings

planeed may:

  • Reuse generalized learnings to improve models and ontologies 
  • Use anonymized or aggregated data 

No Customer-identifiable data will be reused without consent.

8.4 License to Use Graphs

Customer is granted a perpetual, non-exclusive license to:

  • Use 
  • Publish 
  • Distribute approved graphs 

9. Data Protection

planeed processes personal data in accordance with applicable data protection laws, including GDPR where applicable. Details are described in the Data Processing Agreement (DPA).

Customer is responsible for ensuring that any personal data provided complies with legal requirements.

10. Service Availability

planeed aims to provide a reliable service. Availability and support are governed by the Service Level Agreement (SLA).

Scheduled maintenance, emergency maintenance, third-party platform failures and force majeure events are excluded from guaranteed uptime.

11. Disclaimer of Warranties

The Platform is provided “as is” and “as available.”

planeed expressly disclaims all warranties, including:

  • Fitness for a particular purpose 
  • Merchantability 
  • Non-infringement 

No guarantees are made regarding:

  • Accuracy of generated Semantic Graphs 
  • Acceptance by third-party platforms 
  • Measurable improvements in AI visibility or digital performance 

12. Limitation of Liability

12.1 Exclusion of Indirect Damages

To the maximum extent permitted by law, planeed shall not be liable for:

  • Indirect, incidental or consequential damages 
  • Loss of revenue, profits, business opportunities or data 
  • Reputational damage 
  • Loss of AI performance or search visibility 

12.2 Semantic & Publishing Risks

planeed shall not be liable for:

  • Incorrect semantic classification or relationships 
  • Consequences of published Semantic Graphs 
  • Third-party platform modifications or interpretations 
  • Downstream use of graph data by AI systems 

For the avoidance of doubt, planeed shall not be liable for any outcomes resulting from:

  • inferred meaning or relationships derived from Semantic Graphs
  • automated reasoning or decision-making by AI systems
  • indirect associations created through integration with external datasets

12.3 Liability Cap

planeed’s total aggregate liability shall not exceed:

  • The total fees paid by Customer in the preceding 12 months.

12.4 Exceptions

Nothing in this Section excludes liability for:

  • Intentional misconduct or gross negligence 
  • Death or personal injury (where applicable) 
  • Mandatory statutory liability 

12.5 Indemnification

Customer shall indemnify planeed against claims arising from:

  • Customer-provided content 
  • Unlawful or misleading graph data 
  • Violations of third-party rights

13. Termination

Either party may terminate the agreement:

  • With notice as defined in applicable plan 
  • Immediately in case of material breach 

Upon termination:

  • Access to the Platform will be revoked 
  • Data retention and deletion policies apply 

Previously published semantic data may remain accessible on third-party platforms.

14. Changes to Terms

planeed may modify these Terms at any time. Updated Terms will be posted on the website. Continued use constitutes acceptance.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Germany.

Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Munich.
